General terms of sale and use.

1. Purpose and acceptance

1.1 These general terms govern access to the MAK-IA platform, available at https://mak-ia.com, as well as the purchase and viewing of the courses offered there.

1.2 The platform is operated by MAK-IA, doing business as MAK-IA, with its head office at 263 1re Avenue, Val-des-Sources (Québec) J1T 1Y6.

1.3 By creating an account or making a purchase, you acknowledge that you have read these terms, understand them and accept them. If you do not agree, you must not use the platform.

1.4 A link to these terms is emailed to you with each purchase, and they remain available at all times on the site.

1.5 The MAK-IA Privacy policy forms an integral part of these terms.

2. Definitions

Term Meaning
Platform The MAK-IA site and all the online learning services offered there.
Learner Any person who creates an account to view or purchase a course.
Instructor The independent professional who designs a course and publishes it on the platform.
Course A structured set of lessons, exercises and assessments offered as a distinct unit in the catalog.
Version The state of a course following a redesign of its learning objectives or modules. Each version is treated as a distinct course.
Individual purchase The acquisition of a specific course, paid for individually.
Individual subscription The monthly or annual access you subscribe to for yourself, to the courses marked "Included in the individual subscription".
Business subscription The annual access subscribed by an employer or manager for their users, to the courses marked "Included in the business subscription".
Business user The learner to whom an employer or manager has assigned a business subscription seat.

3. Role of MAK-IA

3.1 MAK-IA operates a training marketplace. Courses are designed, written and updated by independent instructors, who remain responsible for them pedagogically.

3.2 MAK-IA sells in its own name. It is the merchant in your regard: it collects the price, issues the invoice, collects and remits sales taxes and assumes the consumer relationship. The instructor is not a party to the contract between you and MAK-IA.

3.3 MAK-IA selects partner instructors, applies a quality checklist before any publication and handles the commercial relationship with you: MAK-IA is who you address your requests to.

3.4 MAK-IA is not an educational institution recognized under Quebec's Education Act or Act respecting private education. The courses offered are continuing education and professional development activities.

4. Your account

4.1 Creating an account requires a valid email address and accurate information. You undertake to keep it up to date.

4.2 The account is strictly personal. You may not share, lend or transfer it. You are responsible for the confidentiality of your password and for the activities carried out from your account.

4.3 You must notify us without delay of any unauthorized use of your account.

4.4 You must be at least 14 years old to create an account.

5. Courses, their availability and their versions

5.1 Each course page indicates its content, learning objectives, estimated duration, price and instructor. Where applicable, it also shows "Included in the individual subscription", "Included in the business subscription" or both.

5.2 The instructor sets the price of their course and decides, course by course, whether to include it in each of the two subscriptions.

5.3 A course bearing no inclusion label remains available for individual purchase.

5.4 The instructor may publish a new version of a course when they revise its learning objectives or add or remove modules. Access to the new version constitutes a new purchase, for which an upgrade discount may be offered. You keep access to the version you acquired, under the conditions of section 10. Simple updates and corrections benefit you free of charge within the version you hold.

5.5 MAK-IA may withdraw from the catalog a course that has become inaccurate, outdated or non-compliant when the instructor has not corrected it within the allotted time, as well as in the cases provided for in section 16.4. Withdrawal has no effect on the access you acquired under section 10.

5.6 MAK-IA does not guarantee any specific professional outcome — employment, promotion, external certification or success in an exam held by a third party.

6. Prices, taxes and payment

6.1 Prices are displayed in Canadian dollars, before taxes. The sales taxes applicable to your billing address (GST and QST in Quebec, or your province's taxes) are calculated and itemized on the payment page, before the order is confirmed.

6.2 The total price to pay, including taxes and any applicable discount, is presented to you before you confirm your purchase. No amount is charged without this confirmation.

6.3 Payment is made online by card, through our payment provider Stripe. Your card details are processed by this provider; MAK-IA does not keep them.

6.4 A detailed purchase confirmation is emailed to you, and your purchase history remains available from your account.

6.5 The applicable price is the one displayed at the time of your purchase. A price change has no retroactive effect on transactions already concluded. For an ongoing subscription, any change is governed by section 8.

7. Discounts, promotions, volume discounts and affiliate codes

7.1 Promotions

7.1.1 Instructor promotion. An instructor may apply a promotion to their own courses. It is shown on the course page and applies to the displayed price.

7.1.2 MAK-IA promotion. MAK-IA may in turn apply a promotion to all or part of the catalog, notably during a launch campaign or a seasonal offer.

7.1.3 Discounts never stack. When several reductions could apply to the same transaction — instructor promotion, MAK-IA promotion, volume discount, affiliate discount, promo code — the most advantageous for you is applied, and it alone. The result is the amount you pay, before taxes. The detail is presented to you when confirming the order.

7.2 Volume discount

7.2.1 MAK-IA may grant you a volume discount calculated on your cumulative purchase volume, before taxes, over the twelve (12) rolling months preceding the transaction:

7.2.2 The volume discount is one of the reductions referred to in section 7.1.3: it applies alone, if it is the most advantageous. When an order covers several courses, it is apportioned pro rata to the displayed price of each.

7.2.3 Cumulative volume means purchases made from your account, before taxes and net of refunds granted.

7.3 Affiliate program

7.3.1 MAK-IA operates an affiliate program. A valid affiliate promo code entitles you to a 10% discount.

7.3.2 The affiliate discount is reserved for customers who have never made a purchase on the platform and only applies to that first transaction. A customer who already holds an individual purchase or a subscription is no longer entitled to it, whatever the purchase method and whatever code is used.

7.3.3 For an individual subscription, only the first payment — monthly or annual — benefits from the discount. Renewals are billed at full price. The business subscription gives no right to any affiliate discount.

7.3.4 Only one promo code may be used per transaction. Codes do not stack. The code must be entered at the time of payment: no retroactive attribution is possible.

7.3.5 MAK-IA may cancel a discount obtained through abusive use of the program, notably an affiliate using their own code or the creation of an account for the sole purpose of capturing the first-purchase discount.

8. Individual subscription

8.1 When offered, the individual subscription gives access, for its duration, to all courses marked "Included in the individual subscription".

8.2 It is offered at the price displayed on the pricing page at the time of subscription, before taxes.

8.3 The subscription renews automatically at the end of each period, at the price then in force, until you end it. We notify you by email before each renewal.

8.4 You may end your subscription at any time from your account. Termination takes effect at the end of the current period and you keep access until that date, subject to section 11.

8.5 The subscription catalog evolves. An instructor may withdraw a course from the subscription on thirty (30) days' notice given to MAK-IA.

8.6 If you started a course before the effective date of its withdrawal, you keep access to it for six (6) months, provided your subscription remains active. This access ends automatically upon expiry or termination of your subscription.

8.7 Any change to the subscription's price or conditions is communicated to you in writing before it takes effect, with the option to terminate free of charge if it does not suit you.

9. Business subscription and attached users

9.1 The business subscription is taken out by an employer or manager, for a minimum of five (5) users. It gives access to the courses marked "Included in the business subscription". The price and billing terms are agreed with the business and are not billed to you personally.

9.2 The terms agreed between MAK-IA and the client business — duration, number of seats, billing and scope of the reporting sent to the manager — are governed by a separate contract with that business.

9.3 If a seat is assigned to you, these terms apply to your personal use of the platform, subject to the terms agreed with your employer.

9.4 The manager may unassign you during the year. Your access then ends on the unassignment date, including for courses started, the seat remaining reassignable to another user for the remaining duration.

9.5 Your employer has access to the learning data attached to your seat, within the limits described in the Privacy policy. A course you purchased individually from a personal account remains outside this scope.

10. Individual purchase and duration of access

10.1 Purchasing a course individually gives you access to it as soon as payment is confirmed.

10.2 This access is granted to you without time limit, subject to clause 10.4. This commitment is indicated on the product page at the time of purchase.

10.3 Access remains acquired even if the course is withdrawn from the catalog, if the instructor stops working with MAK-IA or if a new version is published. It covers the version you acquired, in the state it is then in. The instructor maintains their educational support for three (3) months after the end of their collaboration; beyond that, MAK-IA answers administrative questions.

10.4 By exception, access may end without compensation in any of the following cases: permanent cessation of the platform's operation; removal of content required by a court decision, a serious third-party claim or a legal obligation; force majeure. MAK-IA notifies you within a reasonable time.

11. Cancellation and refund

11.1 Before any purchase, MAK-IA provides you with its name, contact details, the detailed description of the course, the total price, applicable taxes, payment terms and this cancellation policy.

11.2 Subscription

11.2.1 You may cancel an individual subscription, monthly or annual, within 24 hours of subscribing, from your account. The amount paid is then refunded, less a $5 administrative fee.

11.2.2 After this period, the subscription remains in force until the end of the paid period. You may end it for the future in accordance with clause 8.4.

11.3 Individual purchase

11.3.1 You may request a refund of an individually purchased course within 15 days of purchase, provided you have not viewed more than 10% of its content. A $5 administrative fee is deducted from the refunded amount.

11.3.2 A learning path (bundle of courses) follows the same rule, assessed on its content as a whole.

11.4 Common provisions

11.4.1 Any request is sent to MAK-IA by email, at info@mak-ia.com. The refund is made to the same payment method, within a reasonable time; access to the refunded course is removed.

11.4.2 The decision to grant a refund rests with MAK-IA, based on a reasonable analysis of each situation. The instructor takes no part in this decision.

11.4.3 The rights granted to you by the Consumer Protection Act for distance contracts apply in full and are not limited by any clause herein.

12. Training certificates

12.1 When you complete a course and pass its assessments, MAK-IA issues you a certificate bearing your name, the course title, its duration and its completion date. It bears a unique number, publicly verifiable on the site.

12.2 This certificate attests to your participation and to passing the assessments. It constitutes neither a diploma nor a professional certification issued by a professional order or regulatory body.

12.3 MAK-IA designs its platform in alignment with recognized quality frameworks in continuing education. No external recognition is presented as acquired until it actually is.

12.4 MAK-IA may revoke a certificate obtained by fraud, identity theft or circumvention of assessments.

13. Intellectual property

13.1 Courses, their texts, videos, exercises and materials remain the property of their instructor or their rights holders. The platform itself, its brand, its interface and its tools remain the property of MAK-IA.

13.2 Your purchase or subscription grants you a personal, non-exclusive and non-transferable licence to view the course for individual learning purposes, for the duration provided herein.

13.3 You are prohibited from reproducing, downloading, recording, distributing, reselling, translating or making available to a third party all or part of a course, or using it to train other people.

13.4 Documents expressly identified as downloadable may be kept and used for your personal use.

13.5 The certificates issued to you remain yours and you may share them freely.

14. Prohibited uses

You are prohibited from using the platform to:

  • share your credentials or allow a third party to use your account;
  • mass-extract content, automate viewing or distort progress measurements;
  • post a false, defamatory, hateful review or one that infringes another person's privacy;
  • circumvent security measures, attempt to access data not intended for you or harm the operation of the service;
  • solicit instructors or other learners for commercial purposes unrelated to the platform;
  • divert the AI assistant from its educational function;
  • create several accounts in order to repeatedly capture a discount reserved for new customers.

MAK-IA measures learners' progress, notably because this data is used to calculate instructor compensation. Manifestly artificial viewing — abnormally fast completions, accelerated-speed viewing, unrealistic volumes — is excluded from these calculations.

15. AI assistant

15.1 The AI assistant available in lessons is an educational tool to aid understanding. Its answers are generated automatically and may contain errors or inaccuracies.

15.2 They replace neither professional advice (legal, accounting, tax, medical, engineering or other) nor the instructor's teaching. You remain responsible for critical judgment of the information provided.

15.3 The questions you ask the assistant may be read by the course's instructor, without your identity, in order to improve the content — as specified in the Privacy policy.

16. Service availability

16.1 MAK-IA uses reasonable means to ensure the availability of the platform, without guaranteeing uninterrupted or error-free operation.

16.2 Interruptions may occur for maintenance, updates or the correction of an incident. When planned, they are announced in advance.

16.3 If a prolonged interruption deprived you of access to a paid service, MAK-IA would grant you reasonable compensation, notably by extending your subscription.

17. Content quality and role of the instructor

17.1 The instructor is responsible for the accuracy, updating and legality of the content they publish. They undertake to correct or withdraw a course that has become inaccurate or outdated within thirty (30) days.

17.2 The instructor answers questions about their course within no more than three (3) business days, through the channels provided on the platform.

17.3 Course content is provided for training purposes. It does not constitute personalized professional advice — notably legal, accounting, tax, medical or engineering — and does not replace consulting a competent professional for your particular situation.

17.4 If the content of a course seems inaccurate, misleading or inappropriate to you, report it to MAK-IA. We review reports and may require a correction, suspend access to the course or withdraw it. MAK-IA notably withdraws from the catalog any course the instructor has not corrected within the allotted time.

18. Warranties and liability

18.1 MAK-IA undertakes to provide the service with competence and diligence.

18.2 The warranties provided by the Consumer Protection Act apply and are not excluded by any clause herein.

18.3 No provision herein has the effect of limiting MAK-IA's liability in the event of intentional or gross fault, or of limiting its liability for bodily or moral injury caused to others, in accordance with article 1474 of the Civil Code of Québec.

18.4 Subject to sections 18.2 and 18.3, MAK-IA's total liability to you, all causes combined, is limited to the total of the amounts you have paid it under these terms.

19. Protection of personal information

19.1 The processing of your personal information is described in the MAK-IA Privacy policy.

19.2 Your learning data is used notably to calculate instructor compensation. The statistics sent to the instructor are aggregated and do not identify you, except to the extent strictly necessary for the educational support they provide you.

19.3 Any question about your personal information may be addressed to the person in charge of the protection of personal information, at info@mak-ia.com.

20. Suspension and termination

20.1 You may close your account at any time from your settings. Closure ends the access provided for in section 10.

20.2 MAK-IA may suspend or terminate your account in the event of a serious breach of these terms, notably a prohibited use under section 14, after notifying you and giving you the opportunity to remedy the situation where circumstances allow.

20.3 In the event of termination by MAK-IA without breach on your part, the amounts paid for an unexpired period are refunded to you pro rata.

21. Changes to these terms

21.1 MAK-IA may amend these terms. The version applicable to a purchase is the one in force at the time of that purchase.

21.2 Any change affecting an ongoing subscription is communicated to you in writing before it takes effect, within the period provided by law, with the option to terminate free of charge.

21.3 No change may reduce the access acquired under section 10 to courses you have already purchased.

22. Customer service and complaints

22.1 For any question, technical difficulty or dissatisfaction, write to info@mak-ia.com. We acknowledge receipt within two business days.

22.2 If our answer does not satisfy you, you may contact the Office de la protection du consommateur.

23. Governing law

23.1 These terms are governed by the laws applicable in Quebec.

23.2 Any dispute falls within the jurisdiction of the courts of the judicial district of Saint-François, subject to the mandatory rules protecting consumers, who may always apply to the court of their domicile in Quebec.

23.3 If a clause herein were held invalid, the other clauses would remain in force.

23.4 The parties acknowledge having required that these terms be drawn up in French; this translation is provided for convenience and the French version prevails.
